1) Who I am
Ddraig Digital (“me”, “I”) provides social media content and management services, optimisation reviews, moderation, and digital downloads (e.g., PDFs, spreadsheets, checklists).

2) How these terms work
By purchasing a service, subscribing to a plan, or downloading my digital content, you agree to these Terms & Conditions (“Terms”). If you’re entering into this agreement on behalf of a business, you confirm you have authority to bind that business.
3) Definitions
Client/you: The individual or entity purchasing.
Services: My video creation, image+text posts, carousels, optimisation (Website/Facebook/Instagram/TikTok/YouTube), photo editing, moderation, and related consultancy.
Digital Downloads: Non-physical content (e.g., PDFs, spreadsheets, checklists, templates).
Subscription: Recurring monthly billing for a 6- or 12-month term.
Deliverables: Content produced by me for you under a Service.
Platforms: Third-party sites like Facebook, Instagram, TikTok, YouTube, Pinterest, your website/CMS, and tools I use.
4) Scope of services
I provide:
Content Creation: Shorts, image+text posts, carousels.
Optimisation:
Website: Review pages, links, speed; improvement suggestions and mock-ups.
Facebook: Profile/cover review, About copy, pinned posts, comments, page suggestions, photo guidance.
TikTok: Bio/name review, content and hashtag suggestions.
YouTube: Channel artwork, About, titles, thumbnails, playlists, Community strategy.
Photo Editing: Reasonable edits for supplied assets.
Moderation: Review comments/messages; remove inappropriate content, de-escalate disputes; analyse trends (requires appropriate access).
Digital Downloads: Checklists, PDFs, formatted spreadsheets and similar resources.
Full inclusions/exclusions for your chosen package are set out in your order confirmation or Statement of Work (SOW).
5) Onboarding & access
You agree to:
Provide timely access to required accounts (or admin roles), assets, brand guidelines, approvals, and stakeholders.
Ensure you have the legal right and necessary consents to provide me any content, data, or third-party materials.
Remain responsible for your platform accounts and compliance with their terms.
Delays caused by missing access or approvals extend timelines and may affect deliverables.
6) Subscriptions & billing
Terms: 6 or 12 months, billed monthly in advance.
Auto-renew: After the 6 or 12 month period ends, the subscription will not renew automatically, and you will be required to purchase another period on my website.
Price changes: I may update prices with at least 30 days notice, but your currently purchased subscription will be exempt for the entire duration.
Payment method: You authorise monthly charges to your chosen payment method. If a payment fails, I may retry and/or pause services until paid.
Late payment: I may pause or cancel the subscription at my discretion.
Discounts: Any subscription discount (e.g., 10% for 6 months, 25% for 12 months) applies only during the committed term.
7) Cancellations & cooling-off
Services: You have a 14-day cooling-off period from the date of purchase. If you ask me to start within 14 days, you acknowledge you’ll lose the right to cancel once services are fully performed and you’ll pay a proportionate amount for work done if you cancel within 14 days.
Digital Downloads (non-tangible): You lose the 14-day right to cancel once downloaded.
How to cancel: Email laura@ddraigdigital.co.uk with your order details. For subscriptions, cancellation takes effect at the end of your current billing cycle unless otherwise required by law. You remain responsible for any outstanding amounts.
8) Refunds
Services: If I materially fail to deliver what was agreed in the applicable package and you notify me within 14 days of delivery, I’ll work to remedy or, if not possible, reasonably credit or refund the affected portion.
Digital Downloads: Non-refundable once access is granted, except where the file is defective; in that case, I’ll replace or refund at my discretion.
9) Deliverables, approvals & revisions
I’ll submit drafts or proofs for your review. Unless otherwise stated in your package, up to 1 revision round is included per deliverable
Approvals not given within 5 business days may be deemed accepted or shift timelines.
Content standards: You’re responsible for factual accuracy and claims in your industry. I may refuse content that breaches law, ad rules (ASA/CAP Code), or platform policies.
Turnaround: Estimated timelines are not guaranteed and depend on timely inputs. My maximum turnaround period for any package is 14 days.
10) Moderation & communications
You authorise me to moderate comments/messages and take reasonable actions to remove harmful or unlawful content. I’ll escalate contentious issues per your escalation path.
11) Third-party platforms & tools
I may use third-party tools (e.g., scheduling, analytics, editing). You agree to their standard terms where required.
Platform outages, policy changes, or algorithm updates are outside my control. I provide no guarantee of reach, growth or sales results.
12) Intellectual property & licences
Pre-existing IP (mine): My processes, frameworks, source files, code snippets, and generic templates remain mine.
Deliverables: Upon full payment, I grant you a worldwide, non-exclusive, perpetual licence to use the final deliverables for your business marketing.
Digital Downloads: Licensed, not sold. You receive a non-exclusive, non-transferable licence for your internal business. No reselling, re-licensing, sharing, editing or public posting of the original files.
Portfolio right: I may display non-confidential deliverables in my portfolio and social channels. You can opt out of this when filling in your Agreement form.
13) Your warranties & indemnity
You warrant that materials you supply:
Don’t infringe third-party rights
Comply with law and platform rules
Have necessary consents (e.g., images, music, personal data).
You agree to indemnify me against claims arising from your materials or misuse of Deliverables/Downloads.
14) My warranties & disclaimers
I’ll perform Services with reasonable skill and care. Except as stated, I disclaim all other warranties to the fullest extent permitted by law. Marketing outcomes are not guaranteed.
15) Liability cap
Nothing limits liability for death/personal injury caused by negligence, fraud, or anything else that cannot be limited by law. Otherwise, my total liability arising from any claim is limited to the fees paid by you in the 12 months preceding the event giving rise to the claim. I am not liable for indirect or consequential losses, loss of profits, data, goodwill, or business interruption.
16) Confidentiality
Each party must keep the other’s confidential information secret and use it only to perform obligations under these terms, except where disclosure is required by law or consented in writing.
17) Data protection
I comply with UK GDPR and the Data Protection Act 2018. The attached Data Processing Addendum (Schedule A) applies where I act as Processor to you as Controller (e.g., moderation of your audience comments). For my own business purposes (e.g., client management, invoicing), I am a Controller—see my Privacy Notice.
18) Fees, taxes & expenses
Prices are shown inclusive of VAT. You’re responsible for any applicable taxes.
19) Changes & pauses
Change requests beyond scope may require a new fee. You may request a pause of subscriptions once per 6-month period for up to 4 weeks; billing may continue to hold your slot unless otherwise agreed.
20) Termination & suspension
I may suspend or terminate for: non-payment after 7 days; material breach not cured within 7 days; unlawful/unsafe instructions.
On termination, amounts due remain payable; licences granted remain subject to payment and licence terms.
21) Force majeure
Neither party is liable for delays/failures due to events beyond reasonable control (e.g., outages, strikes, disasters).
22) Assignment & subcontractors
You may not assign without consent (not unreasonably withheld). I may use vetted subcontractors, remaining responsible for performance.
23) Complaints & disputes

I’ll try to resolve within 5 business days. If unresolved, parties will consider mediation before court. Governing law and jurisdiction: England & Wales.
24) Updates to these Terms
I may update these terms; material changes will be notified at least 30 days in advance. Continued use after the effective date constitutes acceptance.

Schedule A: Data Processing Addendum (DPA)
Roles: For Services involving processing of your audience/customer data, you are Controller and I are Processor.
1. Subject, nature & purpose
Moderation, community management, analytics, and content operations requiring limited processing of personal data on your behalf.
2. Duration
For the Subscription term and as needed for closure/backup (see retention).
3. Types of data & subjects
Public usernames/handles, profile info, comments/messages, support inquiries, and other data you lawfully supply; data subjects are your followers/customers.
4. Processor obligations
Process only on your documented instructions.
Implement appropriate technical and organisational measures (access controls, least privilege, MFA on supported tools, encryption at rest/in transit where available; staff confidentiality).
Ensure personnel are bound by confidentiality and trained.
Assist with data subject requests, DPIAs, breach notifications to the extent reasonably possible.
Breach: Notify you without undue delay upon becoming aware of a personal data breach affecting your data.
Sub-processors: I may use sub-processors (hosting, scheduling, moderation tools). I remain liable and will maintain an up-to-date list on request; you may reasonably object.
International transfers: If data is transferred outside the UK, I’ll ensure appropriate safeguards (e.g., UK IDTA/Addendum or other lawful mechanisms).
Retention & deletion: On termination, on your written instruction I’ll delete or return personal data unless law requires storage.
Audit: On reasonable notice, I will provide information necessary to demonstrate compliance (subject to confidentiality and security).
5. Your responsibilities as Controller
Provide a lawful basis; supply compliant instructions; inform data subjects; manage your own platform settings; avoid sending special category data unless agreed in writing.
Schedule B: Acceptable Use Policy (AUP)
You will not instruct me to create, upload, or promote content that is:
Illegal, discriminatory, defamatory, infringing, invasive of privacy, or breaches platform rules.
Medical/financial/legal claims without appropriate substantiation/disclaimers.
Spam, misleading engagement, or platform manipulation.
I may refuse to work with you and will refund you before commencing work.
Schedule C: Digital Downloads Licence
Licence grant: Non-exclusive, non-transferable licence for internal business use.
Restrictions: No resale, redistribution, sublicensing, public posting, or using as templates for competing products without a separate licence.
Attribution: Not required for internal use; do not remove watermarks or copyright notices.
Updates: Minor updates may be provided at my discretion; no guarantee of future updates unless stated.
Schedule D: Service Level & Communication
Working hours: Mon–Fri 8:00–20:00 UK time
Standard response time: within 24 hours
Planned turnarounds: within 7 days of final agreement.

Schedule E: Subscription Summary
Plan: Moderation - 1, 6 or 12 months
Monthly price: 10% discount for 6 months, 25% for 12 months
Auto-renew: No automatic renewal; you must repurchase after term has ended.
Cancel: The subscription can only be cancelled if less than half of the duration has been used. A subscription may be paused as often as required, with a maximum of 30 days notice.
Price changes: Any price changes to subscriptions will not affect your purchased term.
Schedule G: Platform Access Checklist
Facebook/Instagram: Page Admin, Business Manager access; ad account (if applicable).
TikTok: Business account login or delegated role; brand guidelines; hashtag lists.
YouTube: Channel Manager access; brand assets; playlist plan.
Website/CMS: Staging access or editor role; hosting dashboard if performance review needed.
Assets: Brand kit (logos, fonts), tone-of-voice, product/services list, claims approvals.
Legal: Any mandatory disclaimers; industry compliance notes.
